  • Review of the partnership agreement and the PPM to ensure partner allocations and distributions are appropriate and align with the investors and managers expectations

  • Maintenance of schedules necessary for allocation of income and distributions in accordance with LPA waterfall provisions including preferred returns and carry computations

  • Assistance with computation of tax and other distributions in accordance with LPA

  • Assistance drafting communications with investors regarding interim and annual tax matters

  • Provide merger and acquisition tax consultations for portfolio company acquisitions and dispositions to strategically structure the transactions in the most tax efficient manner after analysis of the tax impact to all stakeholders

  • Communicate and foster working relationship with the auditing firm to ensure effectiveness from both sides
